Terms & Conditions

These Terms & Conditions ("Terms") are an agreement between you and BIMPulse LLC ("BIMPulse", "we", "us"), a limited liability company based in Florida, United States. They govern your purchase and use of our software applications and plugins (the "Software") and our websites, accounts, and related services (together with the Software, the "Services"), each as described on our website at the time of purchase. By creating an account, making a purchase, or using the Services, you agree to these Terms.

1. Accounts

You need an account to use the Services. You agree to provide accurate information when creating it, to keep your credentials confidential, and to be responsible for activity under your account. Team administrators are responsible for the members and seats they manage.

2. Orders and Payment

Orders are processed by Paddle, our merchant of record. Paddle is the seller of record for your purchase: it collects your payment details, charges your payment method, handles applicable taxes, and issues your invoice. Paddle's Buyer Terms apply to the checkout. The price you pay is the price presented by Paddle at checkout.

3. Subscriptions and Licenses

The Software is sold as a subscription, billed monthly or annually. Two license types are available:

• Named licenses are assigned to one person and may only be used by that person.
• Floating licenses are shared from a pool; each covers one active user at a time.

Each purchase is billed on a single billing cycle, so monthly and annual subscriptions are separate purchases. Your right to use the Software is governed by the End User License Agreement and continues only while your subscription is active.

4. Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from your dashboard or through Paddle; cancellation takes effect at the end of the period you have already paid for, and you keep access until then. Seat changes work the same way: added seats take effect immediately and are prorated for the remainder of the period, while removed seats take effect at the next renewal, so you keep every seat you have paid for until the current term ends.

5. Free Trial

New users receive one 30-day free trial. No payment method is required, and the trial does not convert into a paid subscription automatically. Each person is eligible for one trial.

6. Refunds

Refunds are described in our Refund Policy: you may request a full refund within 14 days of purchase, for any reason.

7. Acceptable Use

You agree not to:

• share license credentials or circumvent license verification or seat limits;
• reverse engineer, decompile, or create derivative works of the Software, except where applicable law permits it despite this restriction;
• resell, rent, or provide the Services to third parties as a service bureau;
• use the Services in violation of applicable law.

8. Intellectual Property

The Software and Services, including all associated intellectual property, are owned by BIMPulse LLC. Your subscription grants you a license to use them as described in these Terms and the End User License Agreement; it does not transfer ownership. Your project data remains yours.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available". To the fullest extent permitted by law, BIMPulse LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing the output of the Software before relying on it in your projects.

10. Limitation of Liability

To the fullest extent permitted by law, BIMPulse LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising from or related to the Services. Our total liability for any claim arising out of these Terms is limited to the amount you paid for the Services in the twelve months before the claim arose.

11. Termination

We may suspend or terminate access to the Services for material breach of these Terms. You may stop using the Services at any time; Section 4 describes how cancellation and billing interact.

12. Changes to These Terms

We may update these Terms from time to time. The version in effect when you make a purchase governs that purchase for its paid term. Updated Terms take effect when your subscription renews or when you continue using the Services after the new effective date, and we will provide notice of material changes. The effective date at the top of this page reflects the current version.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules.
